The first step in registering a company in Namibia is to choose the type of company you want to register. The most common types are:

2. Choose a company name

3. Prepare the required documents

Next, prepare the necessary documentation for your chosen company type. The key documents are:

• Founding Statement and Constitution (for CC)
• Memorandum of Incorporation (for Pty Ltd, Ltd)
• Application for Company Registration (for all types)

4. Identify company officers and shareholders

You will need to identify at least one director (for Pty Ltd, Ltd) or one member (for CC). Directors or members must be at least 18 years old. Shareholders can be individuals or corporate entities.

5. Capital requirements

Namibia does not require a minimum capital for CCs, Pty Ltds, or Ltds. There is no minimum capital requirement for branches of foreign companies.

6. Register your company

Once your documents are ready, you can submit your application to the Business and Intellectual Property Authority (BIPA). This can be done in person at their office or via mail. Online registration is not currently available.

• Pty Ltd: N$ 350 (approximately $24)
• Ltd: N$ 450 (approximately $31)

7. Register for taxes

8. Obtain necessary permits and licenses
